MCA V3 Updates: New Forms of Companies Act, 2013

What is V3 Portal in MCA?

V3 Portal is an improved version of V2 Portal, the 2nd version of MCA portal for filling various forms related to companies and LLPs. LLP services have now been discontinued in V2 portal and moved to V3 portal.MCA has released 56 forms on Portal V-3 w.e.f. January 23, 2023 under Companies Act 2013. There are many changes in the process of filling the information to be mentioned in the form etc. attached to the form.

Portal V3 currently supports the following features:

  1. Trademark Validation: Trademark verification is done at FO level to ensure compliance with The Companies (Incorporation) Rules, 2014.
  2. DSC Association and Registration: Every user must create his/her user id on the portal. A user ID can only be associated with one DSC; henceuser must associate therelevant persons DSC with the correct User ID.
  3. E-MoA and E-AoA: It provides a standard format forthe E-MoA and E-AoA under the Companies Act 2013. Only applicable terms can be selected you can also select terms that do not apply or require modification.As a result not only filing MOA and AOA but also drafting MoA and AoA has become much easier saving a lot of time and efforts.
  4. EDIR-2: The DIR-2 has been removed from the DIR-12Annex.Instead of Annex now, a checkbox must be provided at the end of the form to cover DIR-2.The DSC of the person being appointed must be in DIR-12 alongwith the DSC of Directors and Professionals.
  5. NIC Code 2008: NIC Code 2008 introduces the option to select 3 professional activities with a 5-digit code.
  6. Size of Form: The maximum file size of attachment is 10 MB for each PDF format.
  7. Form MG-14: A section has been added to the modified IBC in form MGT-14.
  8. Form MG-14: The E-MOA isadded to Form MGT-14 when the registered office is transferred from one state to another.
  9. INC20-A: A photograph of the registered office is attached to the INC 20-A form (for starting a business).
  10. INC-22: Form INC-22 cannot be submitted if any of your forms are pending for approval in case of change of domicile/state.
  11. PAS-3:Type of Security to be allotted and Type of issue (Right issue/Private Placement) is now added as an attachment in Form PAS-3.
  12. PAS-3: A statement is included on the PAS-3 form indicating that no previous assignment forms are pending
  13. List of Allottee: The list of Allottee is included in the form itself and not as a separate attachment.
  14. Form 28: Form 28 is now conditional STP where previously it was non-STP for all purposes.
